1. Introduction & Acceptance

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "Customer") and AnyVet Co., Ltd., a company incorporated under the laws of Thailand (together with its affiliates, including 애니벳에이아이 (AnyVet AI) in South Korea, collectively "AnyVet," "we," "us," or "our").

These Terms govern your access to and use of the following services (collectively, the "Services"):

• AnyVet Smart — a cloud-based Hospital Operating System for veterinary clinics, including electronic medical records (EMR), billing, AI Scribe, diagnostic tools, TeleVet, Line OA integration, and Auto-PO.
• AnyVet App — a mobile application for pet owners providing AI triage, telemedicine, appointment booking, a pet shop, health management, and support for up to 10 pets per subscription.
• AnyVet Microchip — a cloud-based pet identification system compliant with ISO 11784/11785, featuring SMS alerts, a lost pet network, and emergency reporting.

By creating an account, subscribing to a plan, or otherwise accessing or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

We may update these Terms from time to time. When we make material changes, we will notify you at least 30 days in advance via email or an in-app notification. Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the changes.

2. Eligibility & Account

2.1 Age Requirements

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use the Services. Individuals under 18 may only use the Services with the consent and supervision of a parent or legal guardian, who agrees to be bound by these Terms on the minor's behalf.

2.2 Entity Accounts

If you are using the Services on behalf of an organization (such as a veterinary clinic, hospital, or business entity), you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" and "your" refer to the organization.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Choose a strong, unique password and keep it confidential.
• Notify us immediately at [email protected] if you suspect unauthorized access to your account.
• Not share your account credentials with any unauthorized third party.

AnyVet is not liable for any loss or damage arising from your failure to secure your account.

3. Service Description & Availability

3.1 AnyVet Smart

AnyVet Smart is a cloud-based Hospital Operating System designed for veterinary clinics and hospitals. It includes modules for electronic medical records (EMR), appointment scheduling, billing and point-of-sale, AI-assisted clinical documentation (AI Scribe), diagnostic imaging integration, telemedicine (TeleVet), Line OA messaging integration, and automated purchase orders (Auto-PO). Access is provided on a per-clinic subscription basis.

3.2 AnyVet App

AnyVet App is a mobile application for pet owners. Features include AI-powered symptom triage, video telemedicine consultations with veterinarians, appointment booking, an integrated pet shop, health record management, and vaccination/medication reminders. Each subscription supports up to 10 pets.

3.3 AnyVet Microchip

AnyVet Microchip is a cloud-based pet identification and tracking system. Microchips are compliant with ISO 11784/11785 standards. The service includes a centralized pet registry, SMS alerts upon scanning, a lost pet network for community-based search assistance, and emergency reporting tools.

3.4 Service Level & Maintenance

We use commercially reasonable efforts to maintain 99.5% monthly uptime for the Services, excluding scheduled maintenance windows. Scheduled maintenance will be announced at least 48 hours in advance via email or in-app notification. Emergency maintenance to address security vulnerabilities or critical issues may occur without advance notice.

Uptime is calculated as: (total minutes in month − downtime minutes) / total minutes in month × 100. Downtime caused by factors outside our reasonable control (including internet outages, force majeure events, or your own systems) is excluded from this calculation.

3.5 Beta & Preview Features

From time to time, we may offer features labeled as "Beta," "Preview," "Early Access," or similar designations. These features are provided as-is without any warranty or service level commitment. We may modify, suspend, or discontinue Beta features at any time without notice or liability. Your use of Beta features is at your own risk, and we encourage you not to rely on them for production-critical workflows.

4. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

1. Reverse engineer, decompile, or disassemble any part of the Services, except to the extent expressly permitted by applicable law.
2. Scrape, crawl, or harvest data from the Services using automated means without our prior written consent.
3. Attempt to gain unauthorized access to any part of the Services, other users' accounts, or the underlying systems and networks.
4. Misuse medical or health data by accessing, sharing, or processing veterinary medical records, pet health data, or personal information in ways that violate applicable data protection laws or these Terms.
5. Transmit malicious code, including viruses, worms, trojan horses, ransomware, or any other harmful software.
6. Interfere with or disrupt the Services, servers, or networks connected to the Services, including through denial-of-service attacks or excessive API requests.
7. Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
8. Use the Services to send spam, unsolicited messages, or bulk communications in violation of applicable anti-spam laws.
9. Sublicense, resell, or redistribute the Services or any part thereof without our prior written consent.
10. Use the Services for any illegal activity, including fraud, money laundering, or the facilitation of any criminal offense.
11. Circumvent or disable any security, authentication, or access control mechanisms within the Services.
12. Use the AI features to generate content that is intentionally misleading, harmful, or designed to deceive pet owners or veterinary professionals about the health status of an animal.

We reserve the right to investigate and take appropriate action against any violation of this Acceptable Use Policy, including suspending or terminating your account and reporting the matter to law enforcement authorities.

5. AI Services Disclaimer

This is an important section. Please read it carefully.

5.1 AI Is an Assistive Tool Only

AnyVet's AI-powered features — including but not limited to AI Scribe (automated clinical note generation), AI Triage (symptom assessment for pet owners), and AI-assisted diagnostics — are designed to assist veterinary professionals and pet owners. They are not a substitute for professional veterinary judgment, diagnosis, or treatment.

5.2 No Medical Advice

The AI features do not provide veterinary medical advice. The outputs generated by our AI systems are informational and suggestive in nature. They should never be used as the sole basis for clinical decisions. A licensed veterinarian must always independently evaluate the patient, review AI-generated content for accuracy, and exercise their professional judgment before making any diagnosis or treatment decision.

5.3 Limitations of AI

AI systems have inherent limitations. Specifically:

• AI outputs may contain errors, inaccuracies, or omissions.
• AI models are trained on historical data and may not account for rare conditions, emerging diseases, or species-specific variations.
• AI Scribe transcriptions may misinterpret speech, medical terminology, or context.
• AI Triage assessments are preliminary and are not a substitute for an in-person veterinary examination.
• AI-assisted diagnostic suggestions are probabilistic and must be confirmed through proper clinical evaluation.

5.4 Professional Responsibility

Veterinarians and veterinary professionals remain fully responsible for all clinical decisions, regardless of whether they used AnyVet's AI features in the process. AnyVet does not assume any responsibility for clinical outcomes resulting from decisions made with or without the assistance of our AI tools.

5.5 Pet Owner Acknowledgment

If you are a pet owner using AnyVet App, you acknowledge that AI Triage results are not a diagnosis. They are intended to help you understand potential urgency levels and guide you toward appropriate veterinary care. Always consult a licensed veterinarian for your pet's health concerns.

6. Subscriptions, Fees & Payment

6.1 Pricing & Billing

Access to certain Services requires a paid subscription. Current pricing is displayed on our website at anyvet.ai and within the applicable Service. Fees are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are stated in the local currency applicable to your region (Thai Baht, Korean Won, or US Dollars) unless otherwise specified.

Payments are processed through the following payment processors, depending on your region:

Your use of these payment processors is subject to their respective terms and privacy policies.

6.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You authorize us to charge the payment method on file for each renewal period.

6.3 Price Changes

We may change subscription fees from time to time. If we increase the price of your subscription, we will notify you at least 30 days before the change takes effect. The new price will apply at the start of your next billing period after the notice period. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.

6.4 Refund & Cancellation Policy

• Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the period you have already paid for.
• Refunds: Fees are generally non-refundable, except (a) where required by applicable law, (b) where a statutory cooling-off period applies (see Section 15), or (c) at our sole discretion in cases of Service malfunction or billing error.
• Annual plans: If you cancel an annual subscription, no pro-rata refund will be issued unless required by applicable law.

6.5 Taxes

All fees are exclusive of applicable taxes (including VAT, GST, withholding tax, or sales tax) unless explicitly stated otherwise. You are responsible for all applicable taxes associated with your use of the Services. We will charge applicable taxes where required by law.

7. Customer Data & Ownership

7.1 Your Data, Your Ownership

You retain all rights, title, and interest in the data you submit to the Services ("Customer Data"). Customer Data includes, but is not limited to: patient records, client information, appointment data, billing records, uploaded files, and any other content you create or upload through the Services.

7.2 License Grant to AnyVet

You grant AnyVet a limited, non-exclusive, worldwide license to use, process, store, and transmit your Customer Data solely for the purpose of providing, maintaining, and improving the Services. We will not sell your Customer Data to third parties or use it for purposes unrelated to the Services without your explicit consent.

7.3 Aggregated & Anonymized Data

We may create aggregated, anonymized, or de-identified data derived from Customer Data that cannot reasonably be used to identify you or any individual. We may use such data for analytics, research, service improvement, and benchmarking purposes.

7.4 Data Portability & Export

You may export your Customer Data at any time during an active subscription through the export tools available within the Services. We provide data export in common, machine-readable formats (such as CSV, JSON, or PDF, depending on the data type).

7.5 Data Return & Deletion Upon Termination

Upon termination or expiration of your subscription, we will retain your Customer Data for 30 days to allow you to export it. After this 30-day period, we will permanently delete your Customer Data from our active systems, unless retention is required by applicable law or regulation. Backup copies may persist in encrypted backups for up to an additional 90 days before automatic deletion.

8. Intellectual Property

8.1 AnyVet's Intellectual Property

The Services, including all software, algorithms, AI models, user interfaces, designs, trademarks, logos, documentation, and other materials (collectively, "AnyVet IP"), are owned by AnyVet or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any ownership rights in AnyVet IP.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes during the term of your subscription.

8.3 Feedback

If you provide us with suggestions, ideas, enhancement requests, or other feedback about the Services ("Feedback"), you grant AnyVet a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate that Feedback into the Services without any obligation to you. You are not required to provide Feedback.

9. Third-Party Services & Integrations

The Services integrate with or rely upon third-party products and services, including but not limited to:

• Line OA — for messaging and appointment notifications (Thailand).
• Omise — for payment processing in Thailand.
• Stripe — for international payment processing.
• TossPayments — for payment processing in South Korea.
• Amazon Web Services (AWS) — for cloud hosting and infrastructure.

Your use of third-party services is subject to their respective terms of service and privacy policies. AnyVet is not responsible for the availability, accuracy, or performance of third-party services. We do not endorse and are not liable for any acts or omissions of third-party service providers.

If a third-party service experiences an outage or discontinuation that affects the Services, we will use reasonable efforts to minimize the impact and, where feasible, provide an alternative integration.

10. Disclaimers

10.1 "As-Is" Warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 No Guarantee of Availability

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. While we strive for high availability (see Section 3.4), we do not guarantee any specific level of uptime.

10.3 Medical Disclaimer

AnyVet is a technology provider, not a veterinary practice. We do not employ veterinarians (unless separately disclosed), do not provide veterinary medical advice, and do not engage in the practice of veterinary medicine. The Services are tools for veterinary professionals and pet owners. All medical and clinical decisions are the sole responsibility of the licensed veterinary professionals using the Services.

10.4 Data Accuracy

We do not warrant the accuracy, completeness, or reliability of any data, AI-generated content, or information provided through the Services. You are responsible for verifying any information before relying on it.

11. Limitation of Liability

11.1 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANYVET'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO ANYVET DURING THE 12-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, OUR MAXIMUM LIABILITY SHALL BE USD $100 (or the equivalent in local currency).

11.2 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANYVET BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business.
• Loss of data or data corruption.
• Loss of goodwill or reputation.
• Cost of procurement of substitute services.
• Any damages arising from clinical decisions made using or in reliance on the Services.

These exclusions apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if AnyVet has been advised of the possibility of such damages.

11.3 Exceptions

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence.

12. Indemnification

You agree to indemnify, defend, and hold harmless AnyVet, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

1. Your use of the Services in violation of these Terms.
2. Your violation of any applicable law or regulation.
3. Your Customer Data, including any claim that your Customer Data infringes the rights of a third party.
4. Any clinical or medical decisions you make using or in reliance on the Services.
5. Your failure to obtain necessary consents from pet owners, patients, or staff for the collection and processing of their data through the Services.

We will provide you with prompt written notice of any such claim and reasonably cooperate with your defense, at your expense.

13. Termination

13.1 Termination by You

You may terminate your account and subscription at any time through your account settings or by contacting us at [email protected]. Termination takes effect at the end of the current billing period.

13.2 Termination by AnyVet

We may suspend or terminate your access to the Services, in whole or in part, if:

• You breach any provision of these Terms and fail to cure the breach within 14 days of written notice (where the breach is curable).
• You engage in conduct that poses a security risk to the Services or other users.
• You fail to pay fees when due after a 7-day grace period following a payment reminder.
• You use the Services for any illegal purpose.
• We are required to do so by law or a court order.
• We discontinue the Services (with at least 90 days prior notice).

13.3 Effect of Termination

Upon termination:

• Your right to access the Services ceases immediately (or at the end of the billing period, if you initiated the termination).
• You have 30 days from the effective termination date to export your Customer Data.
• After the 30-day export period, we will permanently delete your Customer Data in accordance with Section 7.5.
• Any outstanding fees become immediately due and payable.
• Sections that by their nature should survive termination (including Sections 5, 7, 8, 10, 11, 12, 14, and 16) will continue to apply.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you and AnyVet agree to attempt to resolve any dispute informally. The party raising the dispute shall send a written notice describing the nature of the dispute and the requested resolution to the other party. Both parties will engage in good-faith negotiations for a period of 30 days from the date of the notice. Most disputes can be resolved through this process.

14.2 Arbitration or Court Jurisdiction

If the dispute cannot be resolved informally within 30 days, either party may initiate binding arbitration or court proceedings, subject to the following:

• Default jurisdiction: Unless a region-specific provision in Section 15 applies, disputes shall be resolved by binding arbitration administered by the Thailand Arbitration Center (THAC) under its applicable rules. The arbitration shall be conducted in English. The seat of arbitration shall be Bangkok, Thailand.
• Small claims: Either party may bring an individual action in small claims court (or equivalent) if the claim falls within the court's jurisdictional limits.

14.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ANYVET AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is found to be unenforceable in your jurisdiction, this entire Section 14.3 shall be void, but the remainder of Section 14 shall remain in effect.

15. Region-Specific Terms

The following region-specific provisions supplement the general Terms above. Where a region-specific provision conflicts with the general Terms, the region-specific provision prevails for users in that region.

15.1 Thailand

If you are located in Thailand or accessing the Services primarily from Thailand, the following additional terms apply:

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict-of-laws principles.
• Consumer Protection: Nothing in these Terms shall limit any rights you may have under the Thai Consumer Protection Act B.E. 2522 (1979) or any other mandatory consumer protection legislation in Thailand. To the extent that any provision of these Terms conflicts with your statutory consumer rights, the statutory rights shall prevail.
• Dispute Resolution: Disputes that cannot be resolved informally may be submitted to the Thailand Arbitration Center (THAC) or, at your election, the competent courts of Thailand.
• Language: In the event of any discrepancy between the English and Thai versions of these Terms, the English version shall prevail, except where Thai law requires the Thai version to take precedence.
• Data Protection: We process personal data in compliance with the Thailand Personal Data Protection Act B.E. 2562 (PDPA). Details are set out in our Privacy Policy.

15.2 South Korea

If you are located in South Korea or accessing the Services primarily from South Korea, the following additional terms apply:

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea.
• E-Commerce Act Compliance: We comply with the Act on the Consumer Protection in Electronic Commerce, Etc. (전자상거래 등에서의 소비자보호에 관한 법률). All required disclosures regarding our identity, contact information, terms of transaction, and withdrawal rights are provided as required by this Act.
• Cooling-Off Period (청약철회): You have the right to withdraw from a subscription within 7 days of the date of subscription or the date you received confirmation of your subscription, whichever is later, without penalty. To exercise this right, contact us at [email protected]. This right does not apply if you have already substantially used the Service during the 7-day period (as defined under the E-Commerce Act), but we will refund the unused portion on a pro-rata basis where possible.
• Electronic Document Delivery: You consent to receive all contractual documents, notices, and communications electronically via email or in-app notifications. This electronic delivery satisfies any legal requirement for written notice under Korean law, to the extent permitted.
• Dispute Resolution: Disputes that cannot be resolved informally may be submitted to the Korea Consumer Agency (한국소비자원) for mediation or to the competent courts of the Republic of Korea (Seoul Central District Court as the court of first instance).
• Data Protection: We process personal data in compliance with the Personal Information Protection Act (개인정보 보호법, PIPA). Details are set out in our Privacy Policy.
• Business Registration: 애니벳에이아이 (AnyVet AI) operates as the Korean entity responsible for the Services in South Korea.

16. General Provisions & Contact

16.1 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms (except payment obligations) to the extent that such failure or delay is caused by events beyond its reasonable control, including but not limited to: natural disasters, epidemics or pandemics, war, terrorism, government actions, power outages, internet or telecommunications failures, or cyberattacks. The affected party shall provide prompt notice and use reasonable efforts to mitigate the impact of the force majeure event.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

16.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. AnyVet may assign these Terms, in whole or in part, to any affiliate or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, without your consent but with notice to you.

16.4 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and AnyVet with respect to the Services and supersede all prior and contemporaneous agreements, representations, and understandings.

16.5 Waiver

The failure of either party to enforce any provision of these Terms shall not be construed as a waiver of that provision or the right to enforce it at a later time. Any waiver must be in writing and signed by the waiving party.

16.6 Notices

All notices under these Terms shall be in writing and delivered by email. Notices to AnyVet shall be sent to [email protected]. Notices to you will be sent to the email address associated with your account. Notices are deemed received on the date of delivery.
